4. Republicans were making noises...
I didn't catch exactly what happened prior -- it's a bill about shareholders having a say in executive pay? I guess Republicans didn't debate it when the time was right in the process, then objected at the last second or something...

So as Frank spoke, they were audibly "whining," as he put it.

Another Republican asked for a "courtesy" I believe (to interrupt) and Frank said, "No I will not give you a courtesy!" He seemed to be enjoying it, actually.

5. The GOP really got used to running the place, didn't they?
I guess they never dreamed that their actions would ever come back to bite them in the ass quite so hard. And even at that, the Democrats aren't being nearly as mean and nasty as Tom DeLay and his ilk were. From what I can tell, most of the Republican whining comes from their own failure to follow the rules, and then complaining about it when the rules are enforced on them.

The bill, H.R. 1257 gives shareholders of publicly traded corporations the right to vote for a CEO's compensation, but guess what--the boards do not have to comply with this vote-they only have to report the CEO's compensation in certain cases.

7. Why don't shareholders/owners have the last word on compensation?
This shouldn't even be an option. It is common sense. Voting shareholders should have the ultimate unalienable right to hire and fire CEOs and the BOD and vote on compensation and establish binding proxy questions. The CEO and BOD's are simply managers and should not have the power to overturn the owners. This has been a basic problem in this country and has caused an imbalance in corporate governance and overpaid executive compensation.

I think the point is that this is a beginning-a kind of, "We're serving notice that we are watching you and expecting some changes. The next action, should one be needed (and it will,) can be "toothier."

Given the fundamental tenet of human behavior modification, namely, "You don't spank a toddler with an axe," this is probably a necessary step in curbing the amazing daylight robbery going on in public corporations.
