1. No.
A gift certificate is for whatever you want to use it for. If you want to buy someone a gift using a gift certificate, go for it. Nothing wrong with it.

2. Personally, I don't see anything
wrong with regifting at all, in any form. Why should I keep something that I may not be able to use but someone else might like or have a use for? As long as you don't give things back to the original person who gave it to you or to a person closely connected with them, I say go for it. No other rules should even apply.

shape shifting from certificate to gift ... It's like when my mother in law gives us money for Christmas and says: "now buy something for yourself, don't use it to pay bills" So then we use it to pay bills.
